Terms of Use

1. Definitions & Agreement

In these Terms:

“Gateway”, “we”, “us”, or “our” means Next Generation Media Limited (NZBN 9429053566256), including any related services operated under the Gateway brand.

“You” or “your” means the individual or entity using Gateway.

“Server” means any computer, virtual machine, host, or other system you connect to Gateway.

“Third-Party Service” means any service operated by someone other than us that you connect to, or use with, Gateway, including ChatGPT.

“Services” means the Gateway platform, website, application, server administration service, integrations, and any related features or functionality we provide.

“Your Data” means information you provide to Gateway, transfer through Gateway, or that Gateway receives from your Servers while providing the Services.

“Terms” means these Terms of Use.

These Terms govern your use of the Services.

By accessing or using Gateway, you agree to these Terms. If you do not agree to these Terms, you must not use the Services and must stop use of Gateway immediately.

You should also read our Privacy Policy.

By using Gateway, you're agreeing to them. If you're like us, you don't always have time to read through the entire document. That's why we've summarised the key points for you, and we'll update you in nearly all cases if material changes are made.

You should also read our Privacy Policy. These are here to protect both you and us; if you don't agree, feel free to exit out of the nearest browser.

2. Eligibility

To use Gateway, you must:

  • be at least 16 years old;
  • have the legal capacity to enter into these Terms, or use Gateway with any permission required by law;
  • provide accurate information;
  • be authorised to act on behalf of any organisation for which you use Gateway; and
  • have lawful authority to access and administer every Server you connect to Gateway.

If you are under 18 years old, you must have permission from your parent or legal guardian.

Your parent or legal guardian is responsible for supervising your use of Gateway to the extent required by law.

If you do not meet these requirements, you must not use the Services.

IN OTHER WORDS,

You must be at least 16 years old to use Gateway. Sorry to all you under-16 server administrators, but rules are rules.

Keep your information accurate, make sure you actually have permission to act for any organisation you're representing, and only connect servers you're allowed to administer.

3. What Gateway Is

Gateway is a software service that allows supported Third-Party Services to inspect, administer, and perform work on Servers you connect.

Gateway can perform both read-only and state-changing operations, including operations that may alter software, configuration, files, services, accounts, networks, storage, or other aspects of a Server.

Gateway is not a managed hosting service and does not independently monitor, maintain, back up, or administer your Servers unless we expressly state otherwise.

You remain responsible for your Servers, applications, data, infrastructure, and compliance obligations.

IN OTHER WORDS,

Give ChatGPT a server and let it get on with it.

We're not your outsourced server administrator. We just give ChatGPT a remarkably well-stocked toolbox. What you ask it to do with that toolbox is still your call, captain.

4. Accounts

You must:

  • provide accurate information;
  • keep your login credentials and sign-in methods secure; and
  • be authorised to act on behalf of any organisation for which you use Gateway.

You are responsible for all activity under your Account, except to the extent that activity results from our breach of these Terms or our failure to use reasonable care.

You must notify us promptly if you believe your Account or an authorised connection has been compromised.

We may require you to confirm your identity again before allowing sensitive Account or Server actions.

IN OTHER WORDS,

Keep your sign-in methods safe. Don't share them with your cat, your dog, or that sketchy guy at the coffee shop.

If somebody gets into your account because you handed them the keys, well... that's going to be rather difficult for us to fix.

For particularly important actions, Gateway may ask you to prove you're still you.

5. Connected Servers & Access

By connecting a Server, you authorise Gateway to establish, retain, and use the technical access reasonably required to provide the Services.

You authorise Gateway to connect to that Server and perform operations requested through your Account or an authorised Third-Party Service.

You are responsible for ensuring that:

  • the Server details you provide are correct;
  • Gateway has only the level of access you intend to grant;
  • your use of that access is lawful; and
  • any third-party data or systems accessible from that Server may lawfully be accessed or processed as part of your use of Gateway.

You may remove a Server or revoke Gateway's access to it using the controls we provide.

IN OTHER WORDS,

If you connect a server, we're going to assume you meant to.

Make sure it's yours - or that the person whose server it is is equally enthusiastic about the idea.

You can take Gateway's access away again whenever you like.

6. Billing, Suspension & Recovery

Gateway may charge based on:

  • subscriptions;
  • usage;
  • number of Servers;
  • optional services, including Private Regions; or
  • other pricing models clearly disclosed before you are charged.

Unless stated otherwise:

  • subscriptions are billed in advance;
  • usage-based charges are billed in arrears;
  • all fees are in United States dollars and exclude GST unless stated;
  • subscriptions are generally non-refundable, except where required by New Zealand law; and
  • Gateway's service is delivered electronically.

If payment is overdue or fails, we may:

  • suspend or restrict access to Gateway;
  • limit functionality; or
  • engage third-party debt collection services.

You may cancel your subscription at any time. Unless stated otherwise when you cancel, paid access will continue until the end of the current billing period. No partial refund is provided for unused time, except where required by New Zealand law.

You agree that reasonable costs of recovery, including collection agency fees and reasonable administrative costs, may be added to an outstanding balance where permitted by law.

Suspension or restriction of access does not waive your obligation to pay any outstanding amounts.

If a change to your plan leaves more Servers connected than your new plan allows, Gateway may remain unavailable until you remove enough Servers to meet the new limit or move to a plan that supports them.

Pay your bills on time, and we'll be best friends.

Fall behind, and we might have to hit pause on your account. Ignore us long enough, and we might send a debt collector your way - and yep, you'll pay the reasonable recovery costs too.

Downgrade below the number of servers you've connected? Nothing gets secretly deleted, but you'll need to tidy that up before Gateway becomes usable again.

7. Instructions & Automated Actions

Gateway may execute instructions submitted through your Account or an authorised Third-Party Service.

Those instructions may result from automated or artificial-intelligence systems and may be executed without separate human review by you or us before each action.

Automated systems can make mistakes. You are responsible for considering the effect of instructions you give or approve and for maintaining appropriate backups, recovery procedures, access controls, and change-management practices for important systems.

Gateway may refuse, restrict, delay, or require additional confirmation for an operation where we reasonably believe this is necessary for security, safety, abuse prevention, legal compliance, or service integrity.

IN OTHER WORDS,

ChatGPT can ask Gateway to do real things, and Gateway may actually do them. There isn't a tiny sysadmin at Next Generation Media manually approving every action first.

AI can make mistakes. Read twice, reboot once, and keep a way back if the machine matters.

8. Data Ownership

You retain ownership of Your Data.

You grant us a limited, non-exclusive licence to access, host, copy, transmit, process, store, and otherwise use Your Data only as reasonably necessary to:

  • provide and operate the Services;
  • perform work you request;
  • maintain security and prevent abuse;
  • provide support;
  • comply with law; and
  • exercise our rights under these Terms.

We do not acquire ownership of Your Data merely because it passes through or is stored by Gateway.

You represent that you have the rights and authority necessary for us to process Your Data in this way.

IN OTHER WORDS,

Your data is yours, not ours.

It passing through Gateway does not activate some obscure SaaS version of “finders keepers”. We handle it because that's necessary to make Gateway work and do what you asked.

9. Gateway Intellectual Property

Gateway and all associated software, interfaces, documentation, designs, branding, systems, and other intellectual property are owned by us or our licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for their intended purpose.

Except to the extent expressly permitted by law, you must not:

  • copy or reproduce non-public parts of Gateway;
  • reverse engineer, decompile, or attempt to derive source code from Gateway;
  • probe, extract, scrape, or systematically reproduce non-public interfaces, specifications, capability catalogues, or service internals;
  • circumvent access controls, technical restrictions, usage limits, or security measures; or
  • use unauthorised automated means to extract non-public information from the Services.

Nothing in these Terms transfers ownership of Gateway or our intellectual property to you.

IN OTHER WORDS,

Your servers are yours. Gateway is ours. Seems fair.

Enjoy the magic trick; please don't climb backstage and dismantle the props.

10. Acceptable Use

You must not use Gateway to:

  • break the law;
  • access, control, scan, interfere with, or attack systems you are not authorised to administer;
  • facilitate fraud, theft, extortion, harassment, or other unlawful activity;
  • deploy or operate malicious infrastructure against third parties;
  • steal or misuse credentials, personal information, or confidential information;
  • intentionally disrupt Gateway or other users;
  • bypass security measures, rate limits, Account restrictions, or plan limits;
  • misuse file-transfer or other Gateway functionality to distribute unlawful or malicious material; or
  • use the Services in a way that creates unreasonable risk to Gateway, our infrastructure, our providers, or other people.

We may investigate suspected abuse and may suspend or terminate access where reasonably necessary.

IN OTHER WORDS,

Don't use Gateway for anything illegal, fraudulent, malicious, or evil.

Don't use it to break into somebody else's server, and don't try to break our platform either. Play nice, or we'll show you the door.

11. Availability & Changes to the Service

We aim to provide reliable Services but do not guarantee that Gateway will always be available, uninterrupted, or error-free.

Unless we expressly agree to a separate service level agreement in writing, no particular uptime, availability, or response-time commitment applies.

We may perform maintenance, respond to incidents, change infrastructure, add or remove features, or alter how the Services operate.

Where a change materially reduces a paid Service, we will provide reasonable notice where practicable.

We are not responsible for interruptions caused by circumstances outside our reasonable control.

IN OTHER WORDS,

We aim for boringly reliable.

Servers crash, networks wobble, maintenance happens, and occasionally the internet simply chooses violence. We're not going to invent a magic uptime percentage and pretend nothing can ever go wrong.

12. Security

We take reasonable technical and organisational measures to protect the Services and information entrusted to Gateway, including access controls, authentication safeguards, encryption where appropriate, restricted internal access, and monitoring for abuse and unauthorised access.

No computer system or network can be guaranteed to be completely secure.

You are responsible for maintaining the security of your own Account, sign-in methods, Servers, and systems outside our control.

IN OTHER WORDS,

We lock things down with encryption, access controls, and monitoring.

No system is unhackable, though, so please don't make our job harder by handing somebody the keys.

13. Backups

Gateway is not a backup, archival, or disaster-recovery service unless we expressly state otherwise.

You are responsible for maintaining appropriate backups and recovery procedures for your Servers, applications, files, configuration, and other important data.

You must not rely on Gateway's job history, Activity history, transferred files, or other records as your only copy of important information.

IN OTHER WORDS,

If there is only one copy, it isn't a backup.

Gateway has not repealed this ancient law of computing.

14. Third-Party Services

Gateway may interoperate with Third-Party Services, including ChatGPT.

Those services are operated independently from Gateway and may be subject to separate terms, privacy policies, limits, availability, and Account requirements.

You are responsible for complying with the terms that apply to your use of those Third-Party Services.

We do not control and are not responsible for a Third-Party Service's availability, functionality, outputs, changes, policies, or acts or omissions.

A failure or change in a Third-Party Service may affect your ability to use Gateway.

ChatGPT is a trademark of OpenAI. Gateway is an independent product and is not affiliated with, endorsed by, or sponsored by OpenAI.

IN OTHER WORDS,

We built Gateway. We did not build ChatGPT.

If somebody else changes their service, breaks something, or rearranges the furniture, we'll work with what they give us - but regrettably they don't ask us first.

15. Suspension

We may suspend or restrict your access to some or all of the Services where reasonably necessary because:

  • you materially breach these Terms;
  • payment is overdue or has failed;
  • your Account or use of Gateway presents a security or abuse risk;
  • we reasonably suspect unlawful or unauthorised activity;
  • you exceed or circumvent applicable plan or resource limits;
  • we are required to do so by law; or
  • continuing to provide the Services would create unreasonable risk to us, our providers, our users, or third parties.

Where reasonably practicable, we will provide notice and an opportunity to resolve the issue.

Urgent security, legal, abuse, or infrastructure risks may require immediate action.

Suspension does not cancel amounts already owed.

IN OTHER WORDS,

Break the rules, skip payments, or create a genuine security problem and we may hit pause.

Usually we'll tell you what's wrong and give you a chance to sort it out. Sometimes an urgent problem doesn't give either of us that luxury.

16. Termination

You may stop using Gateway at any time and may cancel any recurring paid subscription using the controls we provide.

We may terminate your access where:

  • you materially or repeatedly breach these Terms;
  • payment remains overdue;
  • there is serious or repeated fraud, harm, abuse, or unauthorised use;
  • we are required to do so by law; or
  • continuing the relationship would create unreasonable risk to us, our providers, our users, or third parties.

Where reasonably practicable, we will provide notice before permanent termination.

Upon termination:

  • access may be revoked;
  • recurring billing will end in accordance with the applicable cancellation or termination date;
  • data may be retained or deleted in accordance with our Privacy Policy and applicable law;
  • where technically available and reasonably practicable, an Account in good standing may be given a reasonable opportunity to retrieve data that the Services already make available for retrieval; and
  • outstanding amounts remain payable.

IN OTHER WORDS,

You can quit anytime. We can boot you if you break the rules or skip payments.

If we part ways nicely, we'll try to make the exit equally uneventful and give you a reasonable chance to grab anything Gateway already lets you retrieve.

If you owe us, though, we settle that first.

17. Liability

Nothing in these Terms excludes or limits any liability, right, guarantee, or remedy that cannot lawfully be excluded or limited.

Subject to that, and to the maximum extent permitted by law:

  • the Services are provided on an “as available” and “as is” basis;
  • we do not guarantee that automated or third-party-generated instructions will always be correct, complete, or appropriate for your environment;
  • we are not liable for loss caused by instructions you submit or approve, your failure to maintain reasonable backups or recovery arrangements, your unauthorised use of a Server, or a Third-Party Service, except to the extent that loss was caused by our breach of these Terms or applicable law;
  • neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings, or business opportunity, to the extent permitted by law; and
  • our total aggregate liability to you for all claims arising out of or relating to the Services in any 12-month period will not exceed the greater of:
    • US$100; or
    • the fees paid or payable by you in respect of the three months immediately preceding the first event giving rise to a claim.

If you have not paid for the Services, the aggregate cap above is US$100.

All claims arising from the same or related acts, omissions, circumstances, or events will be treated as a single claim for the purposes of the liability cap.

The limitations above apply regardless of the legal basis of a claim, to the maximum extent permitted by law.

IN OTHER WORDS,

Gateway comes “as is”.

If we screw up big time, the most we generally owe you is the greater of US$100 or what three months of Gateway cost you. That's a combined cap, not US$100 every time somebody takes another swing at us.

If you're using Gateway for free, that's US$100.

Your rights under New Zealand law still apply, though.

18. Consumer Guarantees Act

Nothing in these Terms limits or excludes any right, guarantee, remedy, or protection you have under the Consumer Guarantees Act 1993 or other New Zealand law that cannot lawfully be limited or excluded.

IN OTHER WORDS,

If New Zealand consumer law gives you a right we can't contract out of, you keep it.

The Terms don't get to outrank Parliament. Awfully inconsiderate of it, really.

19. Business Users

If you acquire the Services in trade, and:

  • the Services are supplied and acquired in trade;
  • all parties to the agreement are in trade;
  • all parties agree that the Consumer Guarantees Act 1993 will not apply; and
  • it is fair and reasonable that the parties are bound by that agreement,

then, to the extent permitted by section 43 of the Consumer Guarantees Act 1993, you and we agree that the Consumer Guarantees Act 1993 does not apply to the supply of the Services to you.

IN OTHER WORDS,

Genuine business-to-business deal?

Where New Zealand law lets businesses agree that the Consumer Guarantees Act doesn't apply, that's what we're agreeing to do here.

It isn't a magic “business” checkbox that makes consumer law disappear.

20. Changes to Terms

We may update these Terms from time to time.

If changes are material, we will provide reasonable notice, for example by email or through Gateway.

Changes will apply from the stated effective date.

If you do not agree to updated Terms, you must stop using Gateway and the Services before those changes take effect.

Your continued use of Gateway after the effective date of updated Terms constitutes acceptance of those Terms.

We will not use a change to these Terms to retrospectively remove rights or remedies that have already arisen.

IN OTHER WORDS,

We might tweak these Terms.

Big changes? We'll tell you. Keep using Gateway after they take effect? You're agreeing to the updates.

We don't get to rewrite yesterday after something has already happened.

21. General

These Terms are governed by New Zealand law.

To the maximum extent permitted by applicable law, you and we submit to the exclusive jurisdiction of the courts of New Zealand in relation to any dispute arising out of or in connection with these Terms or the Services.

These Terms, together with any additional written terms expressly agreed between you and us, form the entire agreement governing your use of the Services.

Notices relating to the Services may be sent electronically, including by email or through Gateway.

IN OTHER WORDS,

New Zealand law rules.

Disputes belong in New Zealand courts, as far as the law lets us agree to that.

These Terms cover the deal unless we've both expressly agreed to something else in writing.

22. Survival

Any provision of these Terms which by its nature should survive termination or expiry will continue in effect after termination or expiry of your use of Gateway.

This includes, but is not limited to:

  • payment obligations;
  • intellectual property rights;
  • data rights and lawful retention obligations;
  • liability limitations;
  • indemnities;
  • governing law and jurisdiction; and
  • obligations arising before termination.

IN OTHER WORDS,

Even after you leave, some rules stick around - like owing us money, ownership staying ownership, and the liability limits still being the liability limits.

Closing an account is not a contractual memory wipe.

23. Indemnity

To the extent permitted by law, you indemnify and hold harmless Gateway, Next Generation Media Limited, and their officers, employees, and contractors against reasonable losses, liabilities, costs, and third-party claims to the extent they arise from:

  • your intentional, reckless, fraudulent, or unlawful use of Gateway;
  • your access to or administration of a Server without lawful authority;
  • Your Data infringing the rights of another person; or
  • your material breach of the warranties or obligations you give in these Terms.

This indemnity does not apply to the extent a loss or claim was caused by our negligence, wilful misconduct, breach of these Terms, or other act or omission for which we are legally responsible.

IN OTHER WORDS,

If your use of Gateway gets us sued, you cover the reasonable costs.

So, broadly speaking: don't be reckless.

And no, this isn't a magic clause that turns our own mistakes into your bill.

24. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be limited, modified, or removed only to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

IN OTHER WORDS,

If one rule gets struck down, the rest stand.

One bad apple doesn't spoil the bunch.

25. No Waiver

Failure or delay by either party to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right, provision, or any other right.

A waiver is effective only if it is expressly given by the party entitled to that right.

IN OTHER WORDS,

We don't enforce something today? Doesn't mean we can't tomorrow.

Same goes for you. Nobody loses a right just because they didn't immediately reach for it.
